Membership Terms & Conditions

These Membership Terms & Conditions (the "Terms" or "Agreement") govern enrollment in the membership program (the "Program") offered by Above & Beyond Dermatology (the "Practice," "we," "us," or "our"), located at 605 S 24th Ave Ste 34, Wausau, WI 54401. By enrolling, the member ("you," "your," or "Member") agrees to these Terms. Please read them carefully and keep a copy for your records.

1. IMPORTANT: THIS IS NOT INSURANCE

THIS AGREEMENT IS NOT HEALTH INSURANCE. It is not a health plan, not a health maintenance organization (HMO), and is not a substitute for health insurance or other health coverage. It does not meet, and standing alone cannot satisfy, any individual or employer health-coverage requirement under federal or state law.

The Program is a prepaid arrangement under which you pay a recurring fee in exchange for a defined set of dermatology services and member benefits that the Practice itself provides, as defined below ("Services"). It does not reimburse you for, or cover the cost of, care obtained elsewhere, and it does not protect you against the financial risk of illness or injury.

We strongly encourage you to obtain and maintain separate health insurance for hospital care, emergencies, prescription medications, laboratory and pathology services, specialist referrals, and any service not expressly included.

2. DEFINITIONS

"Program" / "Membership" — the dermatology membership described in these Terms.

"Services" — the benefits for any Member, which include - but are not limited to - an annual comprehensive skin check-in, quarterly progress reviews, asynchronous communication with clinic staff, discounted skin care products, and an online community of fellow Members.

"Membership Fee" — the recurring subscription fee for your tier

"Founding Member" — a Member who enrolls under the limited Founding Member offer described in Section 4.

"Enrollment Date" — the date your first Membership Fee is successfully charged and you accept these Terms.

3. MEMBERSHIP SERVICES & SCOPE

Your Membership entitles you to the Services for as long as your Membership is active and your Membership Fee is current. The treating clinician determines, in their professional judgment and on a case-by-case basis, whether a given service falls within the scope of the Program.

The Practice may add, modify, or discontinue particular Services by giving you at least 30 days' prior notice by email or mail. The Program does not include, and you remain solely responsible for, any service not listed in the Services — including but not limited to hospital care, emergency care, prescription drugs, outside laboratory or pathology fees, cosmetic procedures not expressly included, and care from any provider other than the Practice.

The Practice does not guarantee any particular clinical outcome, appointment availability, or after-hours access. Nothing in these Terms creates an obligation to provide care beyond the Services, and the clinician-patient relationship remains subject to ordinary professional and ethical standards.

4. FOUNDING MEMBER OFFER (LIMITED AVAILABILITY)

As an introductory offer, the Practice is making a limited number of Founding Member memberships available. The Founding Member offer is limited to the first 50 Members who enroll (the "Founding Member Cap"). Once the Founding Member Cap is reached, the Founding Member offer closes and is no longer available, and subsequent enrollees may join only under the Regular tie.

4.1 FOUNDING MEMBER RATE LOCK

Provided a Founding Member's Membership remains continuously active and in good standing (Membership Fees paid when due, with no lapse), the Founding Member's Membership Fee will remain at the Founding Member rate and will not be subject to any price increases for the lifetime of the continuous Membership. If a Founding Member's Membership lapses, is cancelled, or is terminated, the Founding Member rate is forfeited, and any future re-enrollment will be at the then-current Regular rate, subject to availability.

5. TERM, AUTOMATIC RENEWAL & BILLING AUTHORIZATION

Your Membership begins on the Enrollment Date and continues on a month-to-month or annual basis, depending on the payment method selected at checkout.

AUTOMATIC RENEWAL. Your Membership automatically renews on the cadence you choose at checkout, and your Membership Fee will be automatically charged to your payment method on a recurring basis until you cancel in accordance with Section 7. By enrolling, you authorize the Practice and its payment processor to charge your designated payment method the Membership Fee (plus any applicable taxes) on each renewal date, without further notice or action by you, until cancellation.

You agree to keep your payment information current. If a charge fails, we may retry the charge and may suspend Services until payment is received.

6. CHANGES TO FEES

Except for any Founding Member rate locked under Section 4.1, the Practice may change Membership Fees with at least 30 days' notice by email or mail to the address on file. Additionally, rising costs of doing business over time may be addressed with standard cost-of-living increases of the Membership Fee on an annual basis for non-Founding Members. These increases do not need to be communicated with at least 30 days' notice. Any annual increase will become effective on the 1st of January of each calendar year and is exclusive of any other Membership Fee changes. In response to any Membership Fee changes, you may cancel under Section 7 if desired before the new fee takes effect. Continued payment after the effective date constitutes acceptance of any fee change.

7. CANCELLATION & REFUNDS

YOU MAY CANCEL AT ANY TIME, FOR ANY REASON. To cancel your membership, please send an e-mail stating this directly to drlewellis@aboveandbeyondderm.com. Cancellation will take effect at the end of the then-current billing period; we will not charge you for any subsequent period after a timely cancellation.

Cancellation must be at least as easy as enrollment and available through the same medium you used to enroll. Membership Fees already paid for the current period are non-refundable. Any non-refundable enrollment fee is not returned upon cancellation. The Practice may also terminate a Membership as described in Section 8.

8. TERMINATION BY THE PRACTICE

The Practice may suspend or terminate your Membership upon reasonable notice if: (a) a Membership Fee is not paid when due; (b) you repeatedly fail to adhere to shared treatment decisions such that the relationship is no longer clinically effective; (c) you commit fraud relating to the Membership; (d) your conduct is abusive or presents a danger to staff or other patients; or (e) the Practice discontinues the Program. Where required by law or professional ethics, the Practice will provide notice and a reasonable opportunity to obtain alternative care.

9. MEMBER RESPONSIBILITIES

A Member is responsible for the following:

Providing accurate and complete health information on file
Keeping their contact and payment details current
Paying Membership Fees and any fees for non-included services when due
Understanding that the Program does not replace health insurance and arranging separate coverage accordingly if desired
Treating Practice staff and other patients with respect

10. INSURANCE, MEDICARE/MEDICAID, HEALTH SPENDING ACCOUNTS

The Practice does not bill any health insurer for Services provided under the Program and makes no representation that Membership Fees are reimbursable by any insurer. You are solely responsible for determining whether Membership Fees may be paid or reimbursed using an HSA, FSA, HRA, or similar healthcare spending account, and we recommend you consult your plan administrator or tax advisor. Member understands that under no circumstances will Above & Beyond Dermatology bill Medicare, Medicaid, or any other health insurance product for any services rendered under this Agreement. Member hereby certifies that Member is not currently eligible for or covered by Medicare or Medicaid. Additionally, Member hereby certifies that Member will notify Above & Beyond Dermatology within ten (10) business days when Member becomes eligible for, or covered by, Medicare or Medicaid.

11. PRIVACY & PROTECTED HEALTH INFORMATION

When applicable, Practice maintains the privacy of your health information in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and applicable Wisconsin law, as described in our Notice of Privacy Practices, on file.

12. DISCLAIMERS & LIMITATION OF LIABILITY

To the fullest extent permitted by law, and except for liability that cannot be limited under applicable law (including liability for professional negligence, which is governed by Wisconsin law and not waived or limited by this Section), the Practice's aggregate liability arising out of the Program is limited to the total Membership Fees you paid in the 12 months preceding the event giving rise to the claim. The Program is provided on an "as available" basis and the Practice disclaims implied warranties to the extent permitted by law. Nothing in these Terms limits any right you have under the Wisconsin Consumer Act or other non-waivable consumer-protection law.

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state for any dispute arising out of these Terms.

14. GENERAL

These Terms, together are the entire agreement between you and the Practice regarding the Program and supersede prior discussions. The Practice may amend these Terms on at least 30 days' advance written notice via email or mail; continued payment after the effective date constitutes acceptance. If any provision is held unenforceable, the remaining provisions continue in effect. The Practice's failure to enforce a provision is not a waiver. You may not assign this Agreement; the Practice may assign it to a successor of its practice.

15. ACKNOWLEDGMENT & CONSENT

BY ENROLLING AND SUBMITTING PAYMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS; THAT YOU UNDERSTAND THE PROGRAM IS NOT INSURANCE; THAT YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW AND YOUR PAYMENT METHOD WILL BE CHARGED ON A RECURRING BASIS UNTIL YOU CANCEL; AND THAT YOU MAY CANCEL AT ANY TIME AS DESCRIBED IN SECTION 7.
